These Terms of Use (“Terms of Use”) govern access to and use of the Corporatee platform, websites, dashboards, client portals, tools, and related features (collectively, the “Platform”), operated by Stratesys LLC, doing business as Corporatee (“Corporatee”, “we”, “us”, or “our”).
These Terms of Use apply to all visitors, registered users, and clients (“you”, “User”) who access or use the Platform. By accessing or using the Platform, you agree to be bound by these Terms of Use, together with our Terms of Services and Privacy Policy, which are incorporated by reference.


1. Acceptance of Terms
By accessing, browsing, registering for, or using the Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms of Use. Acceptance occurs through any of the following actions:

• accessing the Platform;
• creating or using an account;
• submitting information or documents;
• ordering or managing services through the Platform;
• continued use of the Platform.

If you do not agree to these Terms of Use, you must not access or use the Platform. If you are acting on behalf of an entity, you warrant you have full authority to bind such entity.
2. Purpose of the Platform
Corporatee operates a digital business services platform designed to support and coordinate:

• company formation and registration services;
• corporate compliance tracking and administration;
• document management and submission workflows;
• interaction with registered agents and service partners;
• service ordering, reminders, and status notifications.

The Platform functions as an administrative and coordination environment. Corporatee is not a government authority, law firm, accounting firm, bank, or financial institution, and the Platform does not replace licensed professionals or regulated entities.
3. Access, Accounts & Security

• 3.1 Account Access: Certain features require account registration. You are responsible for maintaining the confidentiality of your login credentials and all activity conducted through your account.
• 3.2 Accurate Information: You agree to provide accurate, current, and complete information and to update it as necessary.
• 3.3 Unauthorized Access: You must not share credentials, allow third-party access, or attempt to access data not belonging to you. Corporatee may suspend access where account activity presents legal, security, or compliance risk.

4. User Responsibilities & Communications
You are solely responsible for:

• monitoring email, platform notifications, and messages;
• responding to time-sensitive notices;
• maintaining active and functional communication channels.

Corporatee is not liable for missed deadlines, penalties, or adverse outcomes resulting from failure to check communications, spam filtering, full inboxes, or outdated contact details.
5. Platform Tools, Automation & AI Assistance

• 5.1 Informational Nature: Automated, AI-assisted, or informational tools are provided for convenience only to assist with understanding processes and organizing workflows.
• 5.2 No Accuracy Guarantee: These tools may generate inaccurate, incomplete, or jurisdiction-specific information. They do not replace human review or professional advice and must not be relied upon as definitive. All decisions and filings remain your sole responsibility.
• 5.3 Beta Features: Certain features may be experimental or "Beta." Corporatee makes no representations regarding the reliability or availability of such features.

6. Acceptable Use & Anti-Scraping
You agree not to:

• scrape, crawl, harvest, or extract data from the Platform;
• use bots, automated scripts, or similar technologies;
• reverse engineer, copy, or replicate Platform interfaces or workflows;
• monitor or benchmark the Platform for competitive purposes;
• interfere with Platform performance or security.

Unauthorized automated access constitutes a material breach and may result in immediate suspension and legal action.
7. Availability, Maintenance & System Outages

• 7.1 Platform Availability: Provided on an “as available” basis. Uninterrupted availability is not guaranteed.
• 7.2 Maintenance: Corporatee may perform scheduled maintenance, during which the Platform may be temporarily unavailable.
• 7.3 Unscheduled Outages: Corporatee is not responsible for interruptions caused by hosting failures, third-party service outages, security incidents, or force majeure events.

8. Intellectual Property
All Platform content, software, interfaces, and branding are owned by or licensed to Corporatee. No rights are granted except for a limited, revocable right to use the Platform for its intended purpose.
If you submit documents or data ("Client Content"), you grant Corporatee a limited, non-exclusive license to use, store, and process such content solely to operate the Platform and perform the Services.
9. Suspension & Termination of Access
Corporatee may suspend or terminate Platform access if Terms are violated, or if misuse, scraping, or fraud is detected. Termination of Platform access does not affect obligations under the Terms of Services.
10. Limitation of Liability
To the maximum extent permitted by law, Corporatee is not liable for indirect, incidental, or consequential damages, or for outcomes resulting from Platform use. Use of the Platform is at your own risk.
11. Governing Law, Arbitration & Class Action Waiver
These Terms are governed by the laws of the State of New Mexico, USA. Any dispute arising out of or relating to the Platform shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) in Albuquerque, New Mexico. Disputes must be brought on an individual basis only; you waive any right to participate in a class action.
12. Notices
Notices are deemed given when sent to the contact email provided. Corporatee may also provide notices via platform updates. You are responsible for keeping your contact information current.
13. Survival
Sections relating to intellectual property, acceptable use, anti-scraping, limitation of liability, arbitration, and notices shall survive termination of access.
